IMPORTANT NOTICE: PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE RATIFY PLATFORM. BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE OUR SERVICES.
1. INTRODUCTION AND ACCEPTANCE
1.1 About These Terms
These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Customer", "you", "your") and RATIFY TECHNOLOGIES FZCO, a company incorporated in the Dubai Multi Commodities Centre (DMCC), United Arab Emirates, together with its parent company, subsidiaries, affiliates, and any other related entities (collectively referred to as "Ratify", "we", "us", "our").
These Terms govern your access to and use of the Ratify platform, including our website, mobile applications, APIs, and all related services (collectively, the "Platform" or "Services").
1.2 Acceptance of Terms
By clicking 'Accept' or 'Pay', you expressly acknowledge that you have read, understood, and voluntarily assumed the legal and commercial risks associated with using an AI-augmented legal platform. You confirm that you have been given sufficient opportunity to review these Terms and seek independent counsel on their effect.
By creating an account, accessing, browsing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Legal Verification Engagement Terms, our Acceptable Use Policy, our Service Level Agreement, our Cookie Policy and our Pricing & Refund Policy, all of which are incorporated herein by reference.
These Terms apply to all users of the Platform regardless of the channel through which they access it, including users referred through Ratify Connect aggregator partners or accessing services through Ratify Business packages.
If you are using the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case "you" and "your" shall refer to such entity.
1.3 Consent to Data Processing
BY CHECKING THE CONSENT BOX DURING REGISTRATION, YOU PROVIDE EXPLICIT, INFORMED, AND UNAMBIGUOUS CONSENT TO THE COLLECTION AND PROCESSING OF YOUR PERSONAL DATA AS DESCRIBED IN OUR PRIVACY POLICY, IN ACCORDANCE WITH UAE FEDERAL DECREE-LAW NO. 45 OF 2021 (PDPL).
You acknowledge that:
(a) Your consent is given through a clear affirmative action (checking an unchecked box)
(b) You have read and understood our Privacy Policy
(c) You understand what data we collect, why we collect it, and how long we retain it
(d) You may withdraw consent at any time by contacting privacy@ratify.ae
1.4 Independent Legal Advice
BY ACCEPTING THESE TERMS, YOU ACKNOWLEDGE AND CONFIRM THAT:
(a) You have been given sufficient opportunity to seek independent legal advice before accepting these Terms
(b) You have either obtained independent legal advice or have voluntarily chosen not to do so
(c) You fully understand the nature, scope, and consequences of these Terms, including all limitations of liability, disclaimers, indemnification obligations, and waivers contained herein
(d) You are not relying on any representation, statement, or advice from Ratify or any of its employees, agents, or representatives in deciding to accept these Terms
(e) You accept these Terms freely and voluntarily, without duress, undue influence, or misrepresentation
(f) You acknowledge that these Terms contain provisions that limit Ratify's liability and your ability to bring claims, and you accept such provisions as fair and reasonable
1.5 Modifications to Terms
Ratify reserves the right to modify, amend, or update these Terms at any time in its sole discretion by posting a revised version on our website at www.ratify.ae. Changes are effective upon posting unless we specify otherwise. For material changes that adversely affect your rights, we will provide 30 days' notice via email or Platform notification. Your continued use after the effective date constitutes acceptance. If you disagree with any changes, your sole remedy is to stop using the Platform before the effective date.
1.6 Definitions
The following capitalised terms have the meanings given below wherever they appear in these Terms:
"Aggregator" means any third-party business or platform that has entered into a commercial agreement with RATIFY TECHNOLOGIES FZCO to refer, embed, or channel Users to the Platform, including but not limited to real estate agencies, corporate service providers, and business platform operators.
"Ancillary Service Provider" means any independent third-party provider of services other than Legal Verification Services made available through or in connection with the Platform from time to time, including but not limited to translation, notarisation, document stamping, courier, or insurance services.
"Business Metadata" means non-document metadata retained by RATIFY TECHNOLOGIES FZCO including contract type, risk scores, health scores, decision patterns, and usage data, which does not include any actual contract content.
"Document Session Data" means all uploaded documents, AI analysis, lawyer review notes, voice notes, and related content submitted through the Platform, which is subject to automatic deletion within 24 hours of service completion.
"KYC Provider" means the independent third-party provider engaged by RATIFY TECHNOLOGIES FZCO from time to time to perform identity verification and Know Your Customer checks on Users. The KYC Provider operates independently and is solely responsible for its verification decisions and data practices.
"Legal Verification Services" means the document review, verification, and related legal services provided by Partner Law Firms through the Platform.
"Partner Law Firm" means any independent law firm, legal consultancy, or licensed legal practice engaged by RATIFY TECHNOLOGIES FZCO from time to time to provide Legal Verification Services to Users. Partner Law Firms are independent legal entities and are not employees, agents, subsidiaries, or affiliates of RATIFY TECHNOLOGIES FZCO.
"Platform" means the Ratify™ website, mobile applications, APIs, and all related services operated by RATIFY TECHNOLOGIES FZCO.
"Ratified Document" means the reviewed and verified document delivered to the User by a Partner Law Firm through the Platform upon completion of Legal Verification Services.
"Ratify Business" means the commercial offering through which businesses, corporates, or professional firms purchase pre-paid packages or volume arrangements directly from RATIFY TECHNOLOGIES FZCO for use by their employees, clients, or nominees.
"Ratify Connect" means the channel through which Users access the Platform via an authorised third-party Aggregator, referral partner, or integration partner by following a link, QR code, referral, or embedded integration provided by that Aggregator.
"Ratify Legal Review" means the document review report prepared by a Partner Law Firm and delivered to the User through the Platform upon completion of Legal Verification Services.
"Stripe" means Stripe, Inc., the independent third-party payment processor engaged by RATIFY TECHNOLOGIES FZCO to process payments on the Platform.
2. NATURE OF THE PLATFORM AND SERVICES
2.1 Ratify is a Technology Platform, Not a Law Firm
RATIFY IS A TECHNOLOGY AND COMPLIANCE PLATFORM. RATIFY IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE, LEGAL OPINIONS, LEGAL REPRESENTATION, OR LEGAL SERVICES OF ANY KIND.
Ratify is a technology provider and does not exercise 'actual control' over the legal judgment of Partner Law Firms. The Platform is a 'Passive Intermediary.' You agree that any Ratify™ Seal is a technical verification of the document’s journey through our workflow, not a professional endorsement of its legal quality by RATIFY TECHNOLOGIES FZCO.
Ratify provides a technology platform that facilitates the connection between users seeking document verification and contract review services and independent licensed law firms ("Partner Law Firms" or "Verification Partners") that provide legal verification services. Ratify's role is strictly limited to:
(a) Providing secure document intake and transmission infrastructure
(b) Performing transient technical processing necessary to securely transmit documents to the assigned Partner Law Firm, including encryption, file validation, malware scanning, and workflow automation
(c) Providing AI-assisted analysis tools that generate preliminary risk assessments, summaries, and health scores for review by Partner Law Firm professionals
(d) Managing workflow and assignment of documents to Partner Law Firms
(e) Providing a client portal and communication infrastructure
(f) Processing payments as an authorized collection agent
(g) Generating Ratify Legal Reviews, Ratified Documents, and maintaining audit trails
(h) Providing data security and compliance controls
(i) Operating a 24-hour document deletion system in accordance with our Privacy Policy
2.2 Legal Services Provided by Partner Law Firms
All legal verification and review services are performed exclusively by independent Partner Law Firms that are duly licensed and regulated by the appropriate legal authority in the United Arab Emirates, including but not limited to the Dubai Legal Affairs Department, the DIFC Courts Authority, the ADGM Courts, the Abu Dhabi Judicial Department, or the relevant Emirate authority as applicable.
Each Partner Law Firm maintains valid Professional Indemnity Insurance and operates independently of Ratify. Partner Law Firms are solely responsible for the legal verification work they perform and for compliance with all applicable laws, regulations, and professional conduct rules.
2.3 No Lawyer-Client Relationship with Ratify
BY USING THE PLATFORM, YOU ACKNOWLEDGE AND AGREE THAT NO LAWYER-CLIENT RELATIONSHIP, ATTORNEY-CLIENT RELATIONSHIP, OR ANY SIMILAR PROFESSIONAL RELATIONSHIP IS CREATED BETWEEN YOU AND RATIFY.
Any lawyer-client relationship that arises from your use of the Platform exists solely and exclusively between you and the Partner Law Firm assigned to verify your document, as established through the Legal Verification Engagement Terms that you accept before document submission.
2.4 AI-Assisted Analysis
Ratify employs artificial intelligence to provide preliminary analysis including:
Instant document summaries and key term extraction
Risk identification and health scores
Missing clause detection
Plain language explanations
All AI-generated analysis is reviewed and verified by licensed professionals at Partner Law Firms before delivery to you. AI outputs are working drafts only and do not constitute legal advice from Ratify.
2.4A Ratify Legal Review — Authorship and Responsibility
The Ratify Legal Review is prepared, issued, and signed off exclusively by the Partner Law Firm in its own name. RATIFY TECHNOLOGIES FZCO is not the author of, and expressly disclaims all responsibility for, the content, accuracy, completeness, or legal sufficiency of any Ratify Legal Review. Any reliance on a Ratify Legal Review is reliance on the output of the Partner Law Firm, not of RATIFY TECHNOLOGIES FZCO. The Partner Law Firm alone is responsible for the legal conclusions contained in the Ratify Legal Review and for compliance with all applicable professional conduct obligations.
2.5 Independent Status and No Joint Liability
Nothing in these Terms creates a partnership, joint venture, or agency relationship between Ratify and any Partner Law Firm. Ratify and Partner Law Firms are independent contractors. You acknowledge that Ratify does not supervise, direct, or control the legal work of Partner Law Firms. Consequently, Ratify shall not be jointly or severally liable for any act, error, or omission of a Partner Law Firm.
2.6 Independence from Aggregators — Ratify Connect
Where you access the Platform through a Ratify Connect aggregator partner, you acknowledge and agree that:
(a) RATIFY TECHNOLOGIES FZCO and the Aggregator are entirely independent parties. No agency, partnership, joint venture, employment, or fiduciary relationship exists between them.
(b) RATIFY TECHNOLOGIES FZCO is not responsible for any representations, promises, warranties, commitments, or guarantees made by an Aggregator, whether in connection with pricing, service outcomes, turnaround times, bundled services, or otherwise.
(c) Any dispute, claim, or dissatisfaction arising from your relationship or transaction with an Aggregator must be directed solely to that Aggregator. RATIFY TECHNOLOGIES FZCO shall have no liability whatsoever for the acts, omissions, representations, or failures of any Aggregator.
(d) Your use of the Platform is governed solely by these Terms and applicable Ratify™ policies, regardless of any terms, promises, or representations made by the Aggregator to you.
(e) No Aggregator has authority to modify, waive, or override these Terms or any Ratify™ policy. Ratify™ services are provided on the same basis to all users regardless of referral source.
2.6A Additional Ratify Connect Protections
In addition to the protections in Section 2.6, the following further apply to Ratify Connect users:
(b) RATIFY TECHNOLOGIES FZCO reserves the right to reject, suspend, or terminate access for any user referred through Ratify Connect, including for AML, KYC, or sanctions compliance reasons, without liability to the Aggregator or the user. The Aggregator has no claim against RATIFY TECHNOLOGIES FZCO arising from such rejection or termination.
(c) If an Aggregator arrangement is suspended or terminated for any reason, RATIFY TECHNOLOGIES FZCO has no obligation to honour any pricing, discount, commitment, or representation previously made by that Aggregator to its users.
(d) Where an Aggregator collects fees from Users and fails to remit them to RATIFY TECHNOLOGIES FZCO, access to the Platform may be suspended or withheld. RATIFY TECHNOLOGIES FZCO bears no liability in such circumstances and the User’s claim is solely against the Aggregator.
(e) Regardless of how the Platform is presented or branded by an Aggregator, the User’s contractual relationship is solely with RATIFY TECHNOLOGIES FZCO and these Terms govern exclusively.
2.7 Ancillary Third-Party Services
From time to time, RATIFY TECHNOLOGIES FZCO may make available on the Platform additional services provided by independent third-party providers, including but not limited to translation, notarisation, document stamping, courier, insurance, or other ancillary services (“Ancillary Service Providers”). Where you use any such service:
(a) The Ancillary Service Provider is an independent party and is not an employee, agent, subsidiary, or affiliate of RATIFY TECHNOLOGIES FZCO.
(b) RATIFY TECHNOLOGIES FZCO is not responsible for the quality, accuracy, timeliness, suitability, or outcome of any service provided by an Ancillary Service Provider.
(c) Your use of any Ancillary Service creates a direct contractual relationship between you and the relevant Ancillary Service Provider. Any claim, dispute, or complaint arising from their services must be directed solely to that provider.
(d) RATIFY TECHNOLOGIES FZCO shall have no liability for any act, omission, error, delay, or failure of any Ancillary Service Provider, regardless of whether RATIFY TECHNOLOGIES FZCO facilitated the connection, introduced the provider, or processed the payment on their behalf.
(e) Ancillary services may be subject to additional terms and pricing presented at the point of engagement. By proceeding with any Ancillary Service, you agree to those terms.
2.8 Ratify Business — Corporate Account Terms
Where a business, corporate, or professional firm accesses the Platform through a Ratify Business arrangement, the following additional terms apply:
(a) The business subscriber accepts these Terms on behalf of all users who access the Platform under its account and warrants that all such users are authorised and have agreed to be bound by these Terms and all applicable Ratify™ policies. The business subscriber is jointly and severally liable for all acts, omissions, and breaches of its users.
(b) Credits consumed by any user under a Ratify Business account are non-refundable regardless of any internal dispute between the business and its users as to authorisation, instructions, or entitlement.
(c) The business subscriber is solely responsible for all access control, user management, and security of its account. RATIFY TECHNOLOGIES FZCO bears no liability for any activity conducted under the business account, whether authorised or unauthorised by the business.
(d) The business subscriber warrants that all documents submitted by its users through the Platform are authorised for submission and do not infringe the rights of any third party. RATIFY TECHNOLOGIES FZCO bears no liability for documents submitted without proper authorisation.
(e) Unused credits expire as agreed in the applicable commercial agreement. Expired credits are forfeited without refund and do not roll over unless expressly agreed in writing by RATIFY TECHNOLOGIES FZCO.
(f) If a Ratify Business account is suspended or terminated for breach of these Terms, the Acceptable Use Policy, or any other Ratify™ policy, all remaining credits are immediately forfeited without refund.
(g) In the event of the insolvency, liquidation, or dissolution of a business subscriber, any remaining unused credits are forfeited and constitute no claim against RATIFY TECHNOLOGIES FZCO as a creditor or otherwise.
3. USER ELIGIBILITY AND REGISTRATION
3.1 Eligibility
To use the Platform, you must:
(a) Be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is higher
(b) Have the legal capacity to enter into binding contracts
(c) Not be prohibited from using the Platform under the laws of the United Arab Emirates or any other applicable jurisdiction
(d) Not be a person or entity subject to economic sanctions, trade restrictions, or designated on any sanctions list maintained by the United Arab Emirates, the United Nations, the United States, the European Union, the United Kingdom, or any other relevant authority
3.2 Account Registration
To access certain features of the Platform, you must create an account by providing accurate, current, and complete information as requested during the registration process.

Email address
Phone number
Password
Optional profile information that helps us personalize your experience:
Company name
Industry or business sector
Company size
Your role or job title
Location (Emirate)
Residency status (UAE National, UAE Resident, or Non-resident)
You agree to maintain and promptly update your account information to keep it accurate and complete, maintain the security and confidentiality of your account credentials, and accept responsibility for all activities that occur under your account.
3.3 Identity Verification (KYC)
Ratify may require identity verification as part of its Know Your Customer (KYC) and anti-money laundering compliance obligations. Identity verification services may be performed by independent third-party providers. By proceeding through the identity verification process, you agree to the applicable terms of service and privacy policy of the relevant third-party provider. RATIFY TECHNOLOGIES FZCO is not responsible for the decisions, errors, data practices, or failures of any third-party identity verification provider. Access to the Platform may be denied where identity verification is unsuccessful or where a third-party provider is unable to verify your identity. No refund shall be provided where access is denied due to a failed or incomplete identity verification process.
4. DATA HANDLING AND THE 24-HOUR VAULT
4.1 Our No-Storage Commitment
Ratify operates a "24-Hour Vault" for all document-related data. Your uploaded documents, AI analysis, lawyer notes, and voice recordings are automatically and permanently deleted within 24 hours of service completion.
4.2 Document Session Data (Deleted within 24 Hours)
The following data is stored only temporarily and deleted within 24 hours:
Uploaded contracts and documents
AI analysis content and risk descriptions
Partner Law Firm review notes and redlines
Voice notes and audio recordings
Party names and specific contract terms
Exact monetary values from contracts
4.3 Business Metadata (Retained)
The following non-document metadata is retained to provide and improve our services:
Contract type (e.g., NDA, employment, lease)
Risk appetite selection and health scores
Decision patterns (accepted, changed, questioned)
Value bands (ranges, not exact amounts)
Feature usage and session data
This metadata does not include any actual contract content and cannot be used to reconstruct your documents.
4.4 Anonymized Intelligence
Business Metadata may be anonymized (stripped of identifying information) and aggregated for:
Platform improvement and analytics
Industry benchmarking reports
Market intelligence (shared only in anonymized, aggregated form)

4.5 Your Responsibility
YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING YOUR OWN COPIES OF ALL DOCUMENTS SUBMITTED THROUGH THE PLATFORM. After 24 hours, Ratify has no ability to retrieve, access, or restore your documents.
5. USER REPRESENTATIONS, WARRANTIES, AND COVENANTS
5.1 General Representations
By using the Platform, you represent and warrant that:
(a) All information you provide to Ratify is accurate, truthful, and complete
(b) You have the legal right and authority to submit any documents for verification
(c) The documents you submit do not infringe upon any third party's intellectual property rights, privacy rights, or other legal rights
(d) Your use of the Platform complies with all applicable laws, regulations, and these Terms
5.2 Sanctions and Legal Compliance
YOU REPRESENT AND WARRANT THAT:
(a) You are not a 'Sanctioned Person' under the laws of the UAE, the UN, the US (OFAC), the EU, or the UK
(b) The documents submitted do not involve any illegal transactions, money laundering, or criminal activity
(c) Your use of the Platform complies with all applicable export control and economic sanctions laws
Ratify reserves the right to freeze any transaction and report suspicious activity to the UAE Financial Intelligence Unit (FIU) or relevant authorities without notice or liability.
5.3 Document Ownership and Authority
You represent and warrant that you either own the documents you submit or have obtained all necessary authorizations, consents, and permissions to submit such documents for verification.
5.4 Third-Party Data
If you upload documents containing personal data of third parties, you warrant that you have all necessary rights and consents to do so. You agree to indemnify Ratify against any claims arising from your failure to obtain such authorization.
6. PROHIBITED USES
6.1 General Prohibitions
You agree not to use the Platform to:
(a) Violate any applicable law, regulation, or these Terms
(b) Submit false, fraudulent, forged, or misleading documents
(c) Impersonate any person or entity
(d) Interfere with or disrupt the Platform or servers
(e) Attempt to gain unauthorized access to any portion of the Platform
(f) Use any automated means to access the Platform without authorization
(g) Reverse engineer, decompile, or disassemble any aspect of the Platform
(h) Attempt to circumvent the 24-hour deletion system or retrieve deleted data
(i) Attempt to re-identify anonymized data or reconstruct deleted documents
(j) Use the Platform to develop competing products or services
6.2 Acceptable Use Policy
Your use of the Platform is also governed by our Acceptable Use Policy, which is incorporated herein by reference. Violation constitutes a material breach of these Terms.
7. FEES, PAYMENT, AND BILLING
7.1 Pricing
Fees for services are displayed on the Platform before you complete a transaction. All prices are quoted in United Arab Emirates Dirhams (AED) and are inclusive of Value Added Tax (VAT) at the applicable rate unless otherwise stated.
7.2 Split Invoice Structure
In accordance with UAE legal profession regulations, the total fee you pay is comprised of two components:
(a) RATIFY TECHNOLOGIES FZCO Fee: For platform access, AI analysis, workflow management, and technology infrastructure. This fee is earned by and payable to Ratify.
(b) Legal Verification Fee: For independent legal verification services. This fee is earned by and payable to the Partner Law Firm. Ratify collects this fee solely as an authorized collection agent.
7.3 Amendment Rounds
Each service tier includes one (1) amendment round. Additional amendment rounds may be purchased for an additional fee as displayed on the Platform.
7.4 Refunds
Refunds are governed by our Pricing & Refund Policy. Generally, once a document has been submitted to a Partner Law Firm for verification, fees are non-refundable except in limited circumstances.
7.5 Payment Processing — Stripe
Payments on the Platform are processed by Stripe, Inc., an independent third-party payment processor. By proceeding with payment, you agree to Stripe’s applicable terms of service and privacy policy. RATIFY TECHNOLOGIES FZCO is not responsible for any payment failures, processing errors, fraud decisions, fund delays, or data practices of Stripe. Any dispute relating to payment processing must be directed to Stripe directly. RATIFY TECHNOLOGIES FZCO shall have no liability for any loss or damage arising from Stripe’s acts, omissions, or decisions.
7.6 Failed KYC — No Refund
Where access to the Platform or any service is denied as a result of a failed, incomplete, or rejected identity verification process performed by an independent third-party KYC provider, no refund shall be provided. RATIFY TECHNOLOGIES FZCO is not responsible for the decisions or errors of any third-party identity verification provider.
7.7 Professional Indemnity Insurance
Each Partner Law Firm is required to maintain Professional Indemnity Insurance as a condition of their engagement with RATIFY TECHNOLOGIES FZCO. However, RATIFY TECHNOLOGIES FZCO makes no representation, warranty, or guarantee that any Partner Law Firm’s Professional Indemnity Insurance will respond to, cover, or pay out on any specific claim. The existence of such insurance does not create any liability on the part of RATIFY TECHNOLOGIES FZCO. Any claim in connection with legal services must be directed solely to the relevant Partner Law Firm and their insurer.
8. LIMITATION OF LIABILITY
8.1 Disclaimer of Warranties
THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
8.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RATIFY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL TECHNOLOGY FEES (EXCLUDING ANY LEGAL VERIFICATION FEE COLLECTED ON BEHALF OF PARTNER LAW FIRMS) PAID BY YOU TO RATIFY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
8.3 Partner Law Firm Liability
Any claims, disputes, or liability arising from the legal verification services provided by a Partner Law Firm shall be brought exclusively against the Partner Law Firm responsible for such services. Ratify is not a party to the lawyer-client relationship between you and the Partner Law Firm.
8.4 Risk Acceptance — User’s Informed Decision
Where a User receives a Ratify Legal Review identifying High, Medium, or Low risks and elects to proceed with the relevant document or transaction notwithstanding those identified risks, that election constitutes a fully informed, independent commercial decision made by the User. RATIFY TECHNOLOGIES FZCO and the relevant Partner Law Firm shall bear no liability whatsoever for any loss, damage, or consequence arising from the User’s decision to proceed. The User’s confirmation of acceptance following delivery of a Ratify Legal Review is final and non-retractable for the purposes of any claim against RATIFY TECHNOLOGIES FZCO or the Partner Law Firm.
You acknowledge that due to our 24-hour deletion policy, we may be unable to assist with document recovery, dispute resolution, or evidence production after deletion has occurred. You are solely responsible for maintaining your own copies.
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Ratify, its affiliates, and their respective directors, officers, employees, agents, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
(a) Your use of or access to the Platform
(b) Your violation of these Terms or any applicable law
(c) Your violation of any rights of any third party
(d) Any documents you submit through the Platform
(e) Any claim that you are involved in sanctioned activities or illegal activities
(f) Any regulatory investigation arising from your use of the Platform
10. INTELLECTUAL PROPERTY
10.1 Ratify's Intellectual Property
The Platform, including all content, features, functionality, software, code, algorithms, AI models, databases, and materials, is owned by Ratify or its licensors and is protected by intellectual property laws.
10.2 User Content
You retain ownership of documents you submit. By submitting documents, you grant Ratify a limited, non-exclusive license to process, store (for up to 24 hours), transmit, and display such documents solely for the purpose of providing the Services.
10.3 Anonymized Data License
You grant Ratify a perpetual, irrevocable, royalty-free, and worldwide license to retain and use anonymized Business Metadata (derived after removal of identifying information) for:
Maintaining internal knowledge bases
Improving Platform verification logic
Generating aggregated industry benchmarks
Such anonymized data cannot identify you or reconstruct your documents.
11. TERMINATION
11.1 Termination by You
You may terminate your account at any time by contacting Ratify. Termination does not entitle you to any refund of fees already paid.
11.2 Termination by Ratify
Ratify may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice.
11.3 Effect of Termination
Upon termination, your right to use the Platform immediately ceases. Sections of these Terms that by their nature should survive termination shall survive.
12. GOVERNING LAW AND DISPUTE RESOLUTION
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai.
12.2 Arbitration
At Ratify's sole election, any dispute arising out of or relating to these Terms shall be referred to and finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC). The seat of arbitration shall be Dubai. The language shall be English. There shall be one arbitrator.
12.3 Waiver of Class Actions
To the fullest extent permitted by applicable law, all proceedings shall be conducted only on an individual basis. You waive any right to participate in a class, collective, or representative proceeding.
13. GENERAL PROVISIONS
13.1 Entire Agreement
These Terms, together with the Privacy Policy, Legal Verification Engagement Terms, Acceptable Use Policy, Service Level Agreement, Cookie Policy and Pricing & Refund Policy, constitute the entire agreement between you and Ratify.
13.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13.3 Assignment
You may not assign these Terms without Ratify's prior written consent. Ratify may assign these Terms without restriction.
13.4 Force Majeure
Ratify shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, war, terrorism, cyber-attacks, third-party service failures, or regulatory actions.
13.3 Assignment
These Terms create no rights for any third party. No third party may enforce any provision or bring any claim against Ratify arising from the Services.
BY USING THE RATIFY PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
