Definitions
For the purposes of this Legal Disclaimer, the following terms have the meanings set out below:
“Partner Law Firm” means any independent law firm, legal consultancy, or licensed legal practice engaged by RATIFY TECHNOLOGIES FZCO from time to time to provide document review, verification, and related legal services to users of the Platform. Partner Law Firms are independent legal entities and are not employees, subsidiaries, affiliates, or agents of RATIFY TECHNOLOGIES FZCO. A current list of Partner Law Firms is available upon request.
“Platform” means the Ratify™ website, applications, APIs, and related services operated by RATIFY TECHNOLOGIES FZCO.
“Ratify Legal Review” means the legal review prepared, issued, and signed off exclusively by the Partner Law Firm in its own name, and delivered to the User through the Platform upon completion of services. The Ratify Legal Review is the work product of the Partner Law Firm only. RATIFY TECHNOLOGIES FZCO is not the author of, and accepts no responsibility for, the contents of any Ratify Legal Review.
“RATIFY” or “Ratify™” means RATIFY TECHNOLOGIES FZCO, a company incorporated in the Dubai Multi Commodities Centre (DMCC), Dubai, United Arab Emirates.
1. Platform Status
Ratify™ is operated by RATIFY TECHNOLOGIES FZCO, a company incorporated in the Dubai Multi Commodities Centre (DMCC), Dubai, United Arab Emirates (“RATIFY”).
Ratify™ is a technology platform only. Ratify™ is not a law firm, legal agent, legal consultant, or provider of legal services of any kind. Ratify™ does not provide legal advice, legal opinions, or legal representation.
Nothing on this Platform or in any communication from Ratify™ constitutes legal advice. All legal review, verification, and sign-off is performed exclusively by independent Partner Law Firms and their licensed legal professionals.
2. UAE Licensed Legal Professionals
References on this Platform to “UAE Licensed Lawyers,” “Licensed UAE Lawyers,” “Certified Lawyers,” or similar terms refer to licensed legal consultants and/or advocates registered with and licensed by one or more of the following UAE regulatory bodies:
Dubai Legal Affairs Department
Abu Dhabi Judicial Department
DIFC Courts and DIFC Authority
ADGM Registration Authority
Any other applicable UAE federal or emirate-level regulatory body
The specific licensing category and regulatory body applicable to any reviewing legal professional depends on the nature of the services provided and the jurisdiction involved. Partner Law Firms are responsible for ensuring their legal professionals hold the appropriate licences for the services they provide.
3. Partner Law Firms
Ratify™ takes the quality of its Partner Law Firms extremely seriously. Every Partner Law Firm engaged through the Platform undergoes a rigorous selection process, including thorough due diligence, qualification verification, and assessment of their professional track record before being admitted to the Ratify™ network. Once onboarded, Partner Law Firms are subject to ongoing performance appraisals and quality audits to ensure that the standard of service delivered to users consistently meets Ratify™'s expectations.
Notwithstanding these measures, Partner Law Firms are independent legal entities and are not employees, agents, or subsidiaries of RATIFY TECHNOLOGIES FZCO. Ratify™ does not and cannot control, supervise, or direct the independent legal judgments, opinions, or outputs of Partner Law Firms. Each Partner Law Firm exercises its own independent professional judgment and is solely responsible for the quality, accuracy, and completeness of the legal review and verification services it provides.
In the rare event that a user is dissatisfied with the services provided by a Partner Law Firm, we encourage them to contact us at legal@ratify.ae so that we may investigate and engage with the relevant Partner Law Firm on the user's behalf.
It is clearly understood and expressly agreed by all users of the Platform that, notwithstanding Ratify™'s rigorous selection process, ongoing audits, and quality appraisals, Partner Law Firms remain independent legal professionals exercising their own judgment. RATIFY TECHNOLOGIES FZCO shall under no circumstances be held liable for the acts, omissions, errors, or professional negligence of any Partner Law Firm or their personnel. This exclusion is absolute and applies regardless of the nature or severity of the act or omission, and regardless of whether RATIFY TECHNOLOGIES FZCO had or ought to have had prior knowledge of any deficiency in the Partner Law Firm's performance.
4. Legal Professional Privilege
The legal review and verification services provided through the Platform create a professional relationship exclusively between the user and the reviewing Partner Law Firm. Legal Professional Privilege, where applicable, subsists between the user and the Partner Law Firm, and Ratify™ is committed to ensuring that this privilege is fully respected and protected throughout the process.
Ratify™ takes any potential breach of Legal Professional Privilege extremely seriously. If a user believes their Legal Professional Privilege or professional confidentiality has been breached in connection with services received through the Platform, we strongly encourage the user to notify us immediately at legal@ratify.ae. Upon receiving such notification, RATIFY TECHNOLOGIES FZCO will promptly investigate the matter and engage directly with the relevant Partner Law Firm to seek a full explanation and, where appropriate, remedial action.
Notwithstanding the above, RATIFY TECHNOLOGIES FZCO is not a party to the professional relationship between the user and the Partner Law Firm. Any breach of Legal Professional Privilege or professional confidentiality is the sole legal responsibility of the relevant Partner Law Firm. RATIFY TECHNOLOGIES FZCO 's role in any such investigation is that of a facilitator only, and this does not create any liability on the part of RATIFY TECHNOLOGIES FZCO for the acts or omissions of the Partner Law Firm. Where applicable, users may also direct complaints to the relevant UAE regulatory body overseeing the Partner Law Firm.
5. Professional Indemnity Insurance
As part of Ratify™'s commitment to user protection, all Partner Law Firms engaged through the Platform are required to maintain Professional Indemnity Insurance as a mandatory condition of their partnership with Ratify™. This requirement is in place to ensure that users have an additional layer of protection in the unlikely event that something goes wrong with the legal services provided.
In the event that a user wishes to raise a claim in connection with the legal services received, we encourage them to contact us at legal@ratify.ae. RATIFY TECHNOLOGIES FZCO will take the matter seriously, investigate promptly, and facilitate communication with the relevant Partner Law Firm and their insurer on the user's behalf.
That said, it is clearly understood and expressly agreed by all users of the Platform that RATIFY TECHNOLOGIES FZCO makes no representation, warranty, or guarantee that:
Any Partner Law Firm's Professional Indemnity Insurance policy will respond to or cover any specific claim, loss, or circumstance;
Any such insurance policy is valid, current, or adequate in scope or amount for any specific matter;
Any claim made against a Partner Law Firm will be accepted or paid by their insurer;
The terms, conditions, exclusions, or limits of any insurance policy are suitable for any user's specific needs.
Professional Indemnity Insurance is maintained by each Partner Law Firm independently and is entirely outside the control of RATIFY TECHNOLOGIES FZCO. Whilst Ratify™ will do everything within its power to assist users in navigating any such claim, RATIFY TECHNOLOGIES FZCO shall under no circumstances be held liable for any failure of a Partner Law Firm's Professional Indemnity Insurance to respond to, cover, or pay out on any claim. This exclusion is absolute and unconditional.
6. No Guarantee of Outcome
Ratify™ and its Partner Law Firms do not guarantee any specific outcome, result, or legal position arising from the use of this Platform or the services provided through it.
Contract review, risk assessment, and legal verification are professional services involving judgment, interpretation, and analysis. Results may vary depending on the nature, complexity, and governing law of the document, the applicable jurisdiction, and the specific facts and circumstances of each matter.
The Ratify Legal Review, risk scores, recommendations, and any lawyer output provided through the Platform are for informational and decision-support purposes only. They do not constitute a guarantee, warranty, or assurance that:
A contract is enforceable, valid, or free from legal risk;
All risks, clauses, or legal issues have been identified;
The reviewed document will achieve your intended commercial or legal objectives;
A court, tribunal, or regulatory authority will interpret any clause or contract in a particular way.
7. AI Analysis — Limitations and Disclaimer
Ratify™ is committed to delivering the highest quality AI-assisted legal analysis available. Unlike standard AI tools, all AI-generated analysis on the Platform is reviewed and verified by a licensed legal professional before being delivered to users — an additional layer of human oversight specifically designed to identify and eliminate errors, including AI hallucinations, that other platforms do not provide.
Notwithstanding this commitment, Ratify™ uses multiple AI Engines to assist in the initial analysis of documents. AI analysis is a tool to assist legal professionals — it is not a substitute for legal advice or human judgment.
AI analysis may contain errors, omissions, misinterpretations, or hallucinations. All AI-generated analysis is reviewed and verified by a licensed legal professional before being delivered to users. Notwithstanding this verification layer, users should not rely solely on any AI-generated output for legal, commercial, or financial decisions. The AI council output is an internal workflow tool only and is not delivered to users. All legal conclusions in the Ratify Legal Review are the independent work product of the Partner Law Firm exclusively.
RATIFY TECHNOLOGIES FZCO expressly disclaims all liability for any errors, inaccuracies, or omissions in AI-generated analysis, to the maximum extent permitted by applicable law.
8. Billing and Regulatory Compliance
In order to maintain full transparency and compliance with applicable UAE regulations governing the provision of legal services, fees for services facilitated through Ratify™ are structured and invoiced separately:
Technology platform fees are invoiced by RATIFY TECHNOLOGIES FZCO;
Legal services fees are invoiced by the reviewing Partner Law Firm directly to the user.
For administrative convenience, RATIFY TECHNOLOGIES FZCO facilitates the collection of legal services fees as a purely technical payment processing function on behalf of the Partner Law Firm, and remits such fees to the Partner Law Firm upon completion of services. This payment facilitation function does not constitute agency, referral, or any form of intermediary arrangement in connection with the provision of legal services, and RATIFY TECHNOLOGIES FZCO does not retain any portion of legal services fees.
9. Document Delivery and Deletion Responsibility
Upon completion of services, the Ratify Legal Review and all reviewed documents are delivered to the user through the Platform and/or by email to the registered email address on file and/or by WhatsApp to their registered mobile number if they have opted to receive communications via that channel.
RATIFY TECHNOLOGIES FZCO operates a strict 24-hour deletion policy. All documents, reports, and associated data are automatically and permanently deleted from the Platform within 24 hours of service completion. After deletion, RATIFY TECHNOLOGIES FZCO has no ability to retrieve, access, restore, or reissue any document or report.
Users are solely and exclusively responsible for:
Downloading and saving the Ratify Legal Review and all reviewed documents upon delivery;
Maintaining their own secure copies of all documents and reports received through the Platform;
Ensuring their registered email address is accurate and accessible to receive delivered documents.
RATIFY TECHNOLOGIES FZCO accepts no liability for any loss, damage, or inconvenience arising from a user’s failure to download or retain documents prior to deletion, or from any failure of email delivery outside of RATIFY TECHNOLOGIES FZCO’s reasonable control. Users expressly waive any claim against RATIFY TECHNOLOGIES FZCO for the unavailability of documents following the 24-hour deletion window.
10. Limitation of Liability
To the maximum extent permitted by applicable UAE law, RATIFY TECHNOLOGIES FZCO and its officers, directors, employees, and affiliates shall not be liable for:
Any direct, indirect, incidental, consequential, or special damages arising from use of the Platform;
Any reliance on AI-generated analysis, Ratify Legal Reviews, or any output produced through the Platform;
Any act, omission, or professional negligence of any Partner Law Firm;
Any breach of Legal Professional Privilege or professional confidentiality by any Partner Law Firm;
Any failure of a Partner Law Firm’s Professional Indemnity Insurance to respond to a claim;
Any loss arising from the deletion of documents in accordance with our 24-hour deletion policy;
Any loss arising from a user’s failure to download or retain delivered documents.
11. Governing Law
This Legal Disclaimer is governed by the laws of the United Arab Emirates and the Emirate of Dubai. Any dispute arising out of or in connection with this Disclaimer shall be resolved in accordance with the dispute resolution provisions set out in the Ratify™ Terms of Service.
