Ratify™ Pricing & Refund Policy

This Pricing & Refund Policy (“Policy”) governs fees, billing, pricing models, tax treatment, and refund rules for services provided through the Ratify™ platform (“Platform”). This Policy forms part of and is incorporated into the Ratify™ Terms of Service, Legal Verification Engagement Terms, Service Level Agreement (“SLA”), and Acceptable Use Policy.

By purchasing or using any Ratify™ service, you agree to this Policy.

1. Definitions

“Aggregator” means any third-party business or platform that has entered into a commercial agreement with RATIFY TECHNOLOGIES FZCO to refer, embed, or channel users to the Platform, including but not limited to real estate agencies, corporate service providers, and business platform operators.

“Ancillary Service Provider” means any independent third-party provider of services other than Legal Verification Services made available through or in connection with the Platform from time to time, including but not limited to translation, notarisation, document stamping, courier, or insurance services.

“Ancillary Service Fees” means the fees charged by an Ancillary Service Provider for services made available through the Platform. Ancillary Service Fees are separate from Ratify™ Fees and Partner Law Firm Fees and are payable directly to the relevant Ancillary Service Provider.

“Enterprise Plan” means a customized commercial arrangement governed by a separate written agreement.

“KYC Provider” means the independent third-party provider engaged by RATIFY TECHNOLOGIES FZCO from time to time to perform identity verification and Know Your Customer (KYC) checks on users of the Platform. The KYC Provider operates independently and is solely responsible for its verification decisions, data practices, and compliance obligations.

“One-Off Service” means a single Legal Verification or other service purchased on a per-document basis directly through the Platform.

“Partner Law Firm Fees” means the portion of fees payable to independent Partner Law Firms for Legal Verification Services.

“Ratify Business” means the commercial offering through which businesses, corporates, or professional firms purchase pre-paid packages or volume arrangements directly from RATIFY TECHNOLOGIES FZCO for use by their employees, clients, or nominees.

“Ratify Connect” means the channel through which users access the Platform via an authorised third-party Aggregator, referral partner, or integration partner. Ratify Connect users access the Platform by following a link, QR code, referral, or embedded integration provided by an Aggregator, and are subject to the pricing and billing terms agreed between Ratify™ and the relevant Aggregator.

“Ratified Document” means the reviewed and verified document delivered to the user by the Partner Law Firm through the Platform upon completion of Legal Verification Services.

“Ratify™ Fees” means the portion of fees attributable to Ratify™’s technology platform and facilitation services.

“Ratify Legal Review” means the document review report prepared by a Partner Law Firm and delivered to the user through the Platform upon completion of services.

“Stripe” means Stripe, Inc., the independent third-party payment processor used by RATIFY TECHNOLOGIES FZCO to process payments on the Platform. Stripe operates independently under its own terms of service and privacy policy.

“Subscription Plan” means a recurring plan granting access to defined Platform features, usage allowances, or service volumes.

Pricing Models

Ratify™ offers the following pricing models:

One-Off Services: per-document fees for individual Legal Verification requests made directly through the Platform.
Ratify Connect: fees agreed between Ratify™ and the relevant Aggregator, applied at the point of referral or checkout. Pricing for Ratify Connect users is determined by the commercial arrangement between Ratify™ and the Aggregator and may differ from standard Platform pricing.
Ratify Business: pre-paid packages or volume arrangements purchased by businesses directly from RATIFY TECHNOLOGIES FZCO. Pricing is agreed separately and governed by individual commercial agreements.
Enterprise Plans: customized commercial arrangements governed by separate written agreements.

Prices are as displayed on the Platform or as agreed in writing at the time of purchase and are subject to change without notice for future transactions.

Ratify Connect — Aggregator Channel

Ratify Connect is the channel through which users access the Platform via an Aggregator. Where a user accesses the Platform through a Ratify Connect link, QR code, referral, or embedded integration provided by an Aggregator:

The applicable pricing is determined by the commercial arrangement between RATIFY TECHNOLOGIES FZCO and the relevant Aggregator.
The user’s checkout experience, pricing display, and payment flow may be customised in accordance with the Aggregator’s integration.
Applicable pricing for Ratify Connect users is displayed at the point of checkout or as agreed in writing between RATIFY TECHNOLOGIES FZCO and the relevant Aggregator.
The Aggregator is responsible for communicating applicable pricing to the user prior to referral to the Platform.
RATIFY TECHNOLOGIES FZCO bears no responsibility for any pricing representations made by an Aggregator that are inconsistent with the agreed commercial terms.

RATIFY TECHNOLOGIES FZCO and any Aggregator are entirely independent parties. No agency, partnership, joint venture, or employment relationship exists between them. RATIFY TECHNOLOGIES FZCO is not responsible for any representations, promises, warranties, or commitments made by an Aggregator regarding pricing, service scope, outcomes, turnaround times, or any other matter. Users who access the Platform through Ratify Connect do so subject to these Terms and all Ratify™ policies exclusively. No Aggregator has authority to modify, waive, or override any Ratify™ policy or commitment. Any dispute or claim arising from a user’s relationship or transaction with an Aggregator must be directed solely to that Aggregator. RATIFY TECHNOLOGIES FZCO shall have no liability whatsoever for the acts, omissions, representations, or failures of any Aggregator.

Regardless of the channel through which a user accesses the Platform, all services are subject to this Policy, the Terms of Service, and all other applicable Ratify™ policies.

Ratify Business — Corporate Packages

Ratify Business allows businesses, corporates, and professional firms to purchase pre-paid service packages directly from RATIFY TECHNOLOGIES FZCO for use by their employees, clients, or nominees.

Ratify Business pricing and package terms are agreed in a separate written commercial agreement between the business and RATIFY TECHNOLOGIES FZCO.
Applicable pricing for Ratify Business packages is as agreed in writing between the business and RATIFY TECHNOLOGIES FZCO and displayed at the point of checkout.
Pre-paid package credits are non-transferable, non-refundable, and expire as agreed in the relevant commercial agreement.
Unused credits at expiry are forfeited without refund unless expressly agreed otherwise in writing.

Ratify Business arrangements are governed by the applicable commercial agreement and this Policy. In the event of conflict, the commercial agreement shall prevail.

Prices, VAT, and Taxes

5.1 All prices displayed on the Platform are exclusive of VAT and other applicable taxes unless stated otherwise.

5.2 Where UAE VAT applies, the displayed Ratify™ Fee is exclusive of VAT, and 5% VAT will be added and shown separately at checkout and on the invoice.

5.3 RATIFY TECHNOLOGIES FZCO charges and remits VAT on Ratify™ Fees.

5.4 Partner Law Firm Fees may be subject to VAT or other taxes in accordance with the Partner Law Firm’s tax registration and obligations.

5.5 Users are solely responsible for any local VAT, GST, sales tax, withholding tax, or similar taxes arising in their jurisdiction. RATIFY TECHNOLOGIES FZCO bears no responsibility for foreign tax compliance or reporting. Users agree to indemnify RATIFY TECHNOLOGIES FZCO against any claims, penalties, or liabilities arising from their tax non-compliance.

6. Third-Party Payment Processing — Stripe

6.1 Payment Processing by Stripe Payments on the Platform are processed by Stripe, an independent third-party payment processor. By proceeding with payment, you acknowledge that you have read and agree to Stripe’s applicable terms of service and privacy policy. Stripe processes payment data as an independent data controller.

6.2 Stripe’s Responsibility RATIFY TECHNOLOGIES FZCO is not responsible for any payment failures, processing errors, fraud or risk decisions, fund holds or delays, account restrictions, or data practices of Stripe. Where Stripe declines, reverses, holds, or otherwise fails to process a payment, RATIFY TECHNOLOGIES FZCO shall have no obligation to provide the relevant service until payment is successfully received.

6.3 No Liability for Stripe RATIFY TECHNOLOGIES FZCO shall have no liability whatsoever for any loss, damage, or inconvenience arising from Stripe’s acts, omissions, decisions, or data practices. Any dispute relating to payment processing, fund delays, or payment errors must be directed to Stripe directly.

7. Collection of Payments and Law Firm Fees

7.1 RATIFY TECHNOLOGIES FZCO collects payments through the Platform on its own behalf and on behalf of Partner Law Firms as a purely technical payment processing function.

7.2 Partner Law Firm Fees, once collected, belong exclusively to the Partner Law Firm as professional fees for legal services. Such fees do not constitute Ratify™ revenue and are remitted to the Partner Law Firm upon completion of services in accordance with agreed settlement arrangements.

7.3 Any refund, reversal, or adjustment of Partner Law Firm Fees is governed solely by the Partner Law Firm’s professional engagement terms. RATIFY TECHNOLOGIES FZCO bears no obligation to refund Partner Law Firm Fees unless and until such fees are returned to RATIFY TECHNOLOGIES FZCO by the Partner Law Firm.

7.4 RATIFY TECHNOLOGIES FZCO may adjust invoicing, settlement, or collection mechanics where reasonably required for regulatory, professional, or operational compliance, without liability.

8. Legal Verification Fees — Act of Review

8.1 Fees for Legal Verification Services (including both Ratify™ Fees and Partner Law Firm Fees) are earned upon commencement of professional review by the Partner Law Firm.

8.2 The professional act of reviewing a document — including where a document is rejected, flagged, determined invalid, or requires additional information — constitutes successful delivery of the Legal Verification Service.

8.3 Disagreement with, dissatisfaction regarding, or any challenge to the outcome of a Legal Verification does not entitle the User to a refund, credit, or fee waiver.

9. Relationship to Other Documents

9.1 Payments relating to Legal Verification Services are governed primarily by the Legal Verification Engagement Terms. Nothing in this Policy modifies the User’s direct financial obligation to the Partner Law Firm.

9.2 Service Credits issued under the SLA apply only to Ratify™ Fees and do not reduce or offset Partner Law Firm Fees unless the Partner Law Firm expressly agrees in writing.

9.3 Service Credits are the sole and exclusive remedy for service availability or performance failures. No cash refunds or other compensation shall be provided for SLA-related claims.

10. Subscription Billing

10.1 Subscription Plans bill in advance on a recurring basis (monthly or annually as selected).

10.2 Subscription fees are non-refundable once a billing cycle begins.

10.3 Cancellation takes effect at the end of the current billing period; no prorated refunds are provided.

10.4 Unused quotas, allowances, or features do not roll over unless expressly stated in the plan.

10.5 Users suspended or terminated for violations of the Acceptable Use Policy, Terms of Service, or Legal Verification Engagement Terms forfeit any prepaid subscription balances without refund.

10.6 Ratify Business — Credit Consumption Disputes Credits consumed by any user under a Ratify Business account are non-refundable regardless of any internal dispute between the business subscriber and its users as to authorisation, instructions, or entitlement. The business subscriber bears sole responsibility for managing its users’ access and consumption of credits.

10.7 Ratify Business — Credit Forfeiture on Termination or Insolvency Where a Ratify Business account is suspended or terminated for breach of these Terms or any applicable Ratify™ policy, all remaining credits are immediately forfeited without refund. In the event of insolvency or dissolution of a business subscriber, remaining credits are forfeited and constitute no claim against RATIFY TECHNOLOGIES FZCO.

11. Enterprise Plans

11.1 Enterprise Plans are governed by separate written agreements.

11.2 Unless expressly agreed otherwise in writing, Enterprise fees are non-refundable and not subject to prorated adjustments.

11.3 SLA Service Credits remain the sole and exclusive remedy for service failures under Enterprise Plans.

12. Refund Policy — General

12.1 All fees are non-refundable except where expressly provided in this Policy or at RATIFY TECHNOLOGIES FZCO’s sole discretion.

12.2 No refunds are provided for completed services, rejected outcomes, user error, misuse, fraud, or where enforcement action is taken under the Acceptable Use Policy or Terms of Service.

12.3 Failed KYC — No Refund No refund shall be provided where access to the Platform or any service is denied as a result of a failed, incomplete, or rejected identity verification process performed by the KYC Provider. RATIFY TECHNOLOGIES FZCO is not responsible for the decisions, errors, or data practices of the KYC Provider.

12.4 Risk Acceptance — No Refund No refund shall be provided where a User has received a Ratify Legal Review identifying risks and has elected to proceed with the relevant document or transaction notwithstanding those risks. Such election constitutes acceptance of the service outcome and waiver of any refund claim.

12.5 Partial or discretionary refunds, if offered, are issued solely as future Platform credit (not cash) unless required by applicable UAE law.

12.6 Nothing in this Policy limits any non-waivable refund rights granted to consumers under applicable UAE law where a paid service is not delivered at all.

13. Partner Law Firm Fee Refunds

13.1 Any refund of Partner Law Firm Fees is solely at the discretion of the Partner Law Firm under the Legal Verification Engagement Terms.

13.2 RATIFY TECHNOLOGIES FZCO may facilitate refund logistics but bears no obligation or liability to refund Partner Law Firm Fees unless such fees have been returned to RATIFY TECHNOLOGIES FZCO by the Partner Law Firm.

13.3 Nothing in this Policy grants an independent right to claim Partner Law Firm Fee refunds from RATIFY TECHNOLOGIES FZCO.

14. Ancillary Service Fee Refunds

14.1 Ancillary Service Fees are non-refundable once the relevant Ancillary Service Provider has commenced delivery of the service. The commencement of an ancillary service — including but not limited to the initiation of a translation, notarisation, or courier request — constitutes successful delivery for the purposes of this Policy.

14.2 Any refund of Ancillary Service Fees is solely at the discretion of the relevant Ancillary Service Provider. RATIFY TECHNOLOGIES FZCO may facilitate communication but bears no obligation or liability to refund Ancillary Service Fees unless such fees have been returned to RATIFY TECHNOLOGIES FZCO by the provider.

14.3 RATIFY TECHNOLOGIES FZCO shall have no liability for any act, omission, error, delay, or failure of any Ancillary Service Provider and no obligation to provide refunds in respect of Ancillary Service Fees unless such fees are returned to RATIFY TECHNOLOGIES FZCO by the relevant provider.

15. VAT and Taxes on Refunds

15.1 Where RATIFY TECHNOLOGIES FZCO refunds Ratify™ Fees, corresponding VAT will be credited and a VAT credit note issued where required.

15.2 Where Partner Law Firm Fees are refunded, VAT and tax treatment shall follow the Partner Law Firm’s obligations.

15.3 No VAT or tax is refunded unless the underlying fee is refunded.

16. Chargeback and Payment Reversal Consequences

16.1 If a User initiates an unauthorized chargeback, payment reversal, or dispute:

RATIFY TECHNOLOGIES FZCO may immediately suspend or terminate the User’s account without notice;
RATIFY TECHNOLOGIES FZCO may revoke, invalidate, or void all Ratify Legal Reviews, Ratified Documents, QR codes, and authenticity links associated with the User’s account;
RATIFY TECHNOLOGIES FZCO may recover reasonable costs, administrative fees, and legal expenses incurred in responding to the chargeback.

16.2 The User acknowledges that invalidation of Ratify Legal Reviews and Ratified Documents is a necessary measure to protect Platform integrity and security.

16.3 Users agree to indemnify RATIFY TECHNOLOGIES FZCO against any losses arising from chargebacks or payment disputes initiated by them.

17. Enforcement, Forfeiture, and No Liability

17.1 Users suspended or terminated for fraud, misuse, Acceptable Use Policy violations, or any breach of Ratify™ agreements forfeit all prepaid balances, credits, and fees without refund.

17.2 RATIFY TECHNOLOGIES FZCO bears no liability for refunds denied or enforcement actions taken in good faith.

18. No Double Recovery

No User may obtain both a refund (cash or credit) and a Service Credit or other compensation for the same underlying event or service issue.

19. Governing Law and Dispute Resolution

19.1 This Policy is governed by the laws of the United Arab Emirates and the Emirate of Dubai.

19.2 Any dispute arising out of or relating to this Policy shall be finally resolved by arbitration under the Rules of the Dubai International Arbitration Centre (DIAC). The seat of arbitration shall be Dubai, the language shall be English, and the tribunal shall consist of one arbitrator.

19.3 To the maximum extent permitted by law, all claims must be brought on an individual basis. You waive any right to participate in class or representative proceedings.

19.4 RATIFY TECHNOLOGIES FZCO may seek injunctive or equitable relief in any competent court to protect Platform integrity, security, intellectual property, or prevent irreparable harm, without posting bond or proving actual damages.

19.5 Any claim arising under this Policy must be filed within twelve (12) months after the event giving rise to it. Claims not filed within this period are permanently waived to the maximum extent permitted by applicable law.

20. Changes to This Policy

RATIFY TECHNOLOGIES FZCO may amend this Policy at any time by posting the revised version on the Platform. Changes are effective upon posting. Where required by applicable law or for material adverse changes, RATIFY TECHNOLOGIES FZCO will provide reasonable notice (e.g., 30 days via email or Platform notification). Continued use constitutes acceptance. Your sole remedy if you disagree is to cease using the Platform.

21. Severability

If any provision of this Policy is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

22. Entire Agreement

This Policy, together with all referenced Ratify™ documents, constitutes the entire understanding regarding pricing and refunds and supersedes all prior agreements on the subject matter.
