Ratify™ Legal Verification Engagement Terms

These Legal Verification Engagement Terms (“Engagement Terms”) govern the relationship between you (“User”), RATIFY TECHNOLOGIES FZCO (“Ratify”), and the independent Partner Law Firm assigned to provide Legal Verification Services.

Definitions

The following terms have the meanings set out below wherever they appear in these Engagement Terms:

Capitalised terms not defined herein have the meanings given in the Ratify™ Terms of Service.

"Ancillary Service Provider" means any independent third-party provider of services other than Legal Verification Services made available through or in connection with the Platform from time to time, including but not limited to translation, notarisation, document stamping, courier, or insurance services.

"Legal Verification Services" means the document review, verification, and related legal services provided by Partner Law Firms through the Platform.

"Platform" means the Ratify™ website, mobile applications, APIs, and all related services operated by RATIFY TECHNOLOGIES FZCO.

"Ratify Legal Review" means the document review report prepared by the Partner Law Firm and delivered to the User through the Platform upon completion of Legal Verification Services.

"Ratified Document" means the reviewed and verified document delivered to the User by the Partner Law Firm through the Platform upon completion of Legal Verification Services.

1. Nature of the Platform

1.1 Technology Conduit Ratify™ operates as a transient technology platform that facilitates the secure transmission of documents. The Platform is designed for high-speed processing and does not provide long-term data custody, hosting, or storage of Customer Documents.

1.2 No Legal Services RATIFY TECHNOLOGIES FZCO is not a law firm, does not provide legal advice, and does not perform legal verification.

1.3 Professional Judgment Legal Verification Services are performed exclusively by independent Partner Law Firms, which exercise their own professional judgment, operate under their own professional licences, and maintain sole responsibility for the content and accuracy of their work. RATIFY TECHNOLOGIES FZCO does not supervise, direct, or control Partner Law Firms in any way.

1.4 No Attorney-Client Relationship No attorney-client, fiduciary, or privileged relationship is formed between the User and RATIFY TECHNOLOGIES FZCO. Any such relationship exists solely between the User and the Partner Law Firm.

2. The Tripartite Relationship and Liability Shield

2.1 Direct Engagement When you request Legal Verification, you enter into a direct professional engagement with the assigned Partner Law Firm.

2.2 Stranger to the Relationship RATIFY TECHNOLOGIES FZCO is not a party to the attorney-client or professional relationship between the User and the Partner Law Firm. RATIFY TECHNOLOGIES FZCO’s involvement is limited to providing the digital infrastructure for communication, document transmission, and payment processing. The Partner Law Firm is an independent contractor, not an agent, joint venturer, or employee of RATIFY TECHNOLOGIES FZCO. RATIFY TECHNOLOGIES FZCO possesses no authority to interfere with the legal conclusions or professional duties of the Partner Law Firm.

2.3 No Agency; No Third-Party Beneficiaries Nothing in these Engagement Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between RATIFY TECHNOLOGIES FZCO and any Partner Law Firm. These Engagement Terms create no rights or benefits for any third party, and no third party may assert any claim against RATIFY TECHNOLOGIES FZCO arising from any Ratify Legal Review, Ratified Document, or Legal Verification Service.

2.4 Limitation of Liability RATIFY TECHNOLOGIES FZCO shall not be held liable for professional malpractice, negligence, errors, omissions, or breach of duty by the Partner Law Firm. Any claims related to the quality or accuracy of the Legal Verification must be directed solely to the Partner Law Firm.

2.5 Overall Liability Cap In no event shall RATIFY TECHNOLOGIES FZCO’s total aggregate liability arising out of or relating to these Engagement Terms or the Platform exceed the total fees paid by the User for the specific verification request giving rise to the claim. This cap applies to all causes of action, including contract, tort, or statutory claims.

3. User Representations and Source Documents

3.1 Document Authenticity The User remains solely liable for the authenticity of the source document. Submitting forged, altered, or fraudulent documents is a material breach of these terms.

3.2 Preliminary Checks Any automated processing uses transient or anonymized extracts only and does not involve retention of original document content or substantive legal analysis by RATIFY TECHNOLOGIES FZCO.

3.3 Indemnity The User agrees to defend, indemnify, and hold RATIFY TECHNOLOGIES FZCO (and its affiliates, officers, and employees) harmless from and against any claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from:

the User’s submission of fraudulent, forged, altered, or unauthorized documents;
infringement of third-party intellectual property or privacy rights in submitted documents;
failure to obtain necessary consents for third-party data; or
any violation of applicable laws or regulations by the User.

3.4 AI-Assisted Workflow Output Not Legal Work Any automated, algorithmic, or AI-assisted processing performed by RATIFY TECHNOLOGIES FZCO operates solely on anonymized or irreversibly anonymized document extracts for workflow support and platform optimization. Such automated output does not form part of the Legal Verification Services, does not constitute legal advice, and is not a legal opinion of the Partner Law Firm.

3.5 AI-Assisted Preparation — Partner Law Firm Responsibility The Partner Law Firm may utilise AI-assisted analysis tools provided through the Platform as a preliminary input to their review. The Partner Law Firm retains full and sole professional responsibility for independently reviewing, verifying, and approving all findings before issuing the Ratify Legal Review. The User acknowledges that AI tools are used as an aid to, not a substitute for, the independent legal judgment of the Partner Law Firm. RATIFY TECHNOLOGIES FZCO accepts no responsibility for any AI-assisted preliminary analysis and is not the author of any part of the Ratify Legal Review.

3.6 Scope Limitation The Ratify Legal Review is limited to the document submitted by the User and does not account for the User’s specific circumstances, negotiating position, other agreements, business context, financial position, or facts not contained in the submitted document. The Partner Law Firm’s responsibility extends only to the document reviewed. Neither RATIFY TECHNOLOGIES FZCO nor the Partner Law Firm assumes any responsibility for matters outside the scope of the submitted document.

4. Scope of Verification

4.1 Ratify Legal Review The Partner Law Firm will issue a Ratify Legal Review or Ratified Document based on the digital copy of the document provided.

4.2 Specific Purpose Verification Services are performed for the specific purpose requested. The resulting report may not be suitable for other purposes.

4.3 No Duty to Update Neither RATIFY TECHNOLOGIES FZCO nor the Partner Law Firm has any obligation to update, revise, or notify the User of changes in law, regulation, enforcement practice, or market standards after issuance of a Ratify Legal Review or Ratified Document, unless a separate written engagement is agreed.

4.4 Acceptance of Deliverables Ratify Legal Reviews and Ratified Documents are deemed accepted upon the earlier of: (i) use, sharing, or reliance upon them; or (ii) five (5) days after delivery, unless the User notifies the Partner Law Firm in writing of a specific material deficiency.

4.5 Risk Acceptance — Informed Decision Where a User receives a Ratify Legal Review or Ratified Document identifying High, Medium, or Low risks and elects to proceed with the relevant document or transaction notwithstanding those identified risks, that election constitutes a fully informed, independent commercial decision. Neither RATIFY TECHNOLOGIES FZCO nor the Partner Law Firm shall bear any liability for any loss, damage, or consequence arising from the User’s decision to proceed. The User’s confirmation of acceptance following risk disclosure is final and non-retractable for the purposes of any claim against RATIFY TECHNOLOGIES FZCO or the Partner Law Firm.

5. Non-Reliance by Third Parties

5.1 Intended Recipient Ratify Legal Reviews are intended solely for the use of the User.

5.2 Disclaimer of Third-Party Liability No third party (including but not limited to banks, government agencies, or counter-parties) is entitled to rely on the Platform’s facilitation of these services as a guarantee of the document’s authenticity. RATIFY TECHNOLOGIES FZCO disclaims all liability for any loss or damage suffered by third parties relying on a Ratify Legal Review.

5.3 No Third-Party Beneficiaries These Engagement Terms create no rights or benefits for any third party. No third party may claim reliance on the Platform or any Ratify Legal Review as against RATIFY TECHNOLOGIES FZCO.

6. Fees and Payment Finality

6.1 Service Fee The User agrees to pay the fee displayed at the time of request.

6.2 Act of Review and No Refunds The Service Fee is earned upon the commencement of the review by the Partner Law Firm. The User acknowledges that a ‘Rejected’, ‘Inconclusive’, or any other outcome is a valid service result and does not entitle the User to a refund or fee waiver. Fees are non-refundable once the Partner Law Firm begins the review process, regardless of whether the Partner Law Firm approves, rejects, or requests further information regarding a document.

6.3 Chargebacks Any unauthorized chargebacks will result in the immediate suspension of the User’s account and the voiding of any issued Ratify Legal Reviews. Initiating a chargeback shall automatically void any Ratify Legal Review or Ratified Document issued for the disputed transaction.

6.4 Suspension/Termination RATIFY TECHNOLOGIES FZCO may immediately suspend or terminate access to the Platform or any verification request, without liability, for suspected fraud, non-payment, violation of these Terms, or to comply with legal/regulatory requirements. No refunds will be provided in such cases.

7. Integration and Other Terms

These Engagement Terms supplement the Ratify™ Terms of Service, Privacy Policy, and Service Level Agreement (available at www.ratify.ae/legal). In case of conflict, the protections most favourable to RATIFY TECHNOLOGIES FZCO shall prevail. Continued use constitutes acceptance of all referenced documents.

Where Ancillary Services are accessed through the Platform, they are governed by the Ratify™ Terms of Service and the applicable terms of the relevant Ancillary Service Provider. Such services form no part of the Legal Verification Services provided by Partner Law Firms, and RATIFY TECHNOLOGIES FZCO shall have no liability for any act, omission, error, or failure of any Ancillary Service Provider.

8. Confidentiality and Data

8.1 Professional Secrecy The content of the legal review is subject to professional secrecy obligations between the User and the Partner Law Firm. RATIFY TECHNOLOGIES FZCO is not bound by and does not participate in any attorney-client privilege or professional secrecy relationship. RATIFY TECHNOLOGIES FZCO cannot assert, waive, or be compelled to maintain any privilege on behalf of the User or the Partner Law Firm.

8.2 Consent to Metadata Processing The User explicitly consents to RATIFY TECHNOLOGIES FZCO processing transaction metadata (including timestamps, file hashes, and payment logs) necessary for platform operation, security, and audit requirements.

8.3 Data Handling and Deletion RATIFY TECHNOLOGIES FZCO acts solely as a secure technology conduit. Uploaded documents are transmitted to the assigned Partner Law Firm and automatically deleted from RATIFY TECHNOLOGIES FZCO’s active systems within twenty-four (24) hours after verification completion. Thereafter, reviewed documents are held exclusively by the Partner Law Firm under professional secrecy and legal professional privilege. RATIFY TECHNOLOGIES FZCO does not retain original document content beyond the deletion period. Encrypted system backups and security logs may be retained for up to thirty (30) days solely for disaster-recovery and security-audit purposes and are not accessed for operational processing.

9. Independence of Law Firms

RATIFY TECHNOLOGIES FZCO does not supervise, direct, or control the professional activities of Partner Law Firms. RATIFY TECHNOLOGIES FZCO makes no representations regarding the specific qualifications of individual lawyers within a Partner Law Firm beyond verifying that the firm is licensed to practise in its jurisdiction.

10. Disclaimer of Warranties and Liability

THE PLATFORM AND FACILITATION SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. RATIFY TECHNOLOGIES FZCO DISCLAIMS ALL LIABILITY FOR THE ACCURACY, VALIDITY, LEGAL SUFFICIENCY, OR TIMELINESS OF ANY RATIFY™ REPORT OR RATIFIED DOCUMENT OR SERVICES PROVIDED BY PARTNER LAW FIRMS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RATIFY TECHNOLOGIES FZCO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY.

11. Governing Law and Dispute Resolution

11.1 Governing Law These Engagement Terms are governed by the laws of the United Arab Emirates and the Emirate of Dubai.

11.2 Arbitration Any dispute arising out of or relating to these Engagement Terms shall be finally resolved by arbitration under the Rules of the Dubai International Arbitration Centre (DIAC). The seat of arbitration shall be Dubai, and the language shall be English.

11.3 Class Action Waiver To the maximum extent permitted by law, all claims must be brought in the parties’ individual capacity. You explicitly waive any right to participate in a class-action lawsuit or representative proceeding against RATIFY TECHNOLOGIES FZCO or its Partner Law Firms.

11.4 Limitation Period Any claim arising under these Engagement Terms must be filed within one (1) year of the event giving rise to it. Claims not filed within this period are permanently waived to the maximum extent permitted by applicable law.

11.5 Injunctive Relief Notwithstanding the agreement to arbitrate, RATIFY TECHNOLOGIES FZCO reserves the right to seek injunctive or other equitable relief in any competent court to protect its intellectual property rights, confidential information, or Platform integrity.

12. Conflict of Interest Protocol

In the event a Partner Law Firm identifies a professional conflict of interest, the User’s sole remedy is the reassignment of the request to an alternative Partner Law Firm or a full refund of the specific transaction fee, at RATIFY TECHNOLOGIES FZCO’s discretion.

13. Changes to These Terms

RATIFY TECHNOLOGIES FZCO may update these Engagement Terms at any time by posting a revised version on the Platform. Changes are effective upon posting unless we specify otherwise. For material changes that adversely affect your rights, we will provide 30 days’ notice via email or Platform notification. Your continued use after the effective date constitutes acceptance. If you disagree with any changes, your sole remedy is to stop using the Platform before the effective date.

14. Severability

If any provision of these Engagement Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Engagement Terms, together with referenced Ratify™ policies, constitute the entire agreement between the parties regarding the subject matter and supersede all prior understandings.
