Ratify™ Acceptable Use Policy

1. Purpose and Acceptance
1.1 Purpose This Acceptable Use Policy (“AUP”) governs your use of the Ratify™ platform, website, applications, APIs, and related services (the “Platform”). It defines permitted and prohibited uses to protect the security, integrity, availability, and reputation of the Platform, RATIFY TECHNOLOGIES FZCO, its users, and independent Partner Law Firms.
1.2 Binding Effect and Sole Discretion By using the Platform, you agree to comply with this AUP. RATIFY TECHNOLOGIES FZCO reserves the sole and exclusive right, in its absolute discretion, to determine whether any conduct violates this AUP. RATIFY TECHNOLOGIES FZCO’s determination of a violation is final, binding, and non-appealable for all purposes related to Platform access and Service Credit eligibility.
Capitalised terms used but not defined in this AUP have the meanings given in the Ratify™ Terms of Service.
2. General Rule
You may use the Platform only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use of, the Platform by RATIFY TECHNOLOGIES FZCO or any third party.
3. Prohibited Activities
You must not, and must not permit or assist others to, directly or indirectly:
3.1 Illegal or Harmful Conduct Engage in, facilitate, or promote any illegal, fraudulent, or harmful activity, including fraud, forgery, money laundering, terrorist financing, sanctions evasion, or any violation of applicable laws or regulations.
3.2 Misrepresentation Falsely represent or imply that a Ratify Legal Review, Ratified Document, or Platform output constitutes governmental endorsement, legal advice, or an audit of commercial merits, financial viability, or investment quality, or that the Ratify Legal Review represents the views or conclusions of RATIFY TECHNOLOGIES FZCO rather than those of the reviewing Partner Law Firm.
3.3 Unauthorized Data or Content Upload, transmit, or process documents or data without lawful authority, or third-party personal data without required permissions, consents, or legal basis.
Attempt to circumvent, disable, or ‘jailbreak’ the Platform’s automated PII-stripping layers or data anonymization protocols;
Use any automated system, including ‘robots,’ ‘spiders,’ or ‘offline readers,’ to scrape or harvest anonymized clause extracts or metadata from the Platform’s internal knowledge base (RAG);
Input ‘prompt injection’ attacks or specifically engineered queries designed to force the Platform’s AI models to bypass confidentiality filters or reveal transiently processed document content.
3.4 Reverse Engineering You shall not, and shall not attempt to, decompile, reverse engineer, or otherwise attempt to derive the source code, underlying ideas, or ‘Balanced Fortress’ infrastructure logic of the Platform. This includes attempting to reconstruct original documents from the irreversibly anonymized metadata retained by the Platform for its knowledge base.
3.5 Security and Technical Violations
Probe, scan, test, or exploit Platform vulnerabilities.
Circumvent, disable, or interfere with security, authentication, or rate-limiting features.
Introduce malware, viruses, or harmful code.
Attempt reverse engineering, decompilation, disassembly, scraping, or extraction of Platform logic, models, or source code.
3.6 Competitive or Abusive Misuse
Use the Platform to develop, train, validate, or benchmark competing products or services.
Perform model extraction, logic reverse-engineering, or unauthorized AI training on Platform outputs.
Attempt to re-identify, reconstruct, or reverse-engineer deleted documents or irreversibly anonymized clause extracts retained by RATIFY TECHNOLOGIES FZCO.
Engage in excessive, automated, or high-volume access that burdens the Platform without prior written approval.
3.7 Forgery and Tampering Alter, forge, reproduce, or tamper with any Ratify Legal Review, Ratified Document, QR code, digital signature, or authenticity mechanism. Submitting forged, altered, or fraudulent documents constitutes a zero-tolerance violation.
3.8 Other Prohibited Uses
Transmit spam, unsolicited messages, or infringing content.
Infringe intellectual property, privacy, or publicity rights.
Interfere with Platform operation or other users’ access.
Use of the Platform in any manner that, in RATIFY TECHNOLOGIES FZCO’s sole opinion, brings the Platform, Ratify™, or its Partner Law Firms into disrepute or creates a risk of negative public or regulatory perception.
4. API and Integration Rules
API users must securely store credentials, adhere to documentation and rate limits, and use APIs solely for permitted purposes. You are prohibited from using the API to:
Scrape or mass-download irreversibly anonymized clause extracts or metadata from the Ratify™ Knowledge Base;
Attempt to bypass the Platform’s automated PII-stripping layer by submitting specifically engineered API calls designed to leak personal data into external environments; or
Attempt to retrieve document content or PII once the twenty-four (24) hour automated deletion window has closed.
RATIFY TECHNOLOGIES FZCO may throttle, suspend, or revoke API access immediately and without notice for any suspected violation, security risk, or attempt to reverse-engineer the ‘Balanced Fortress’ infrastructure logic.
5. Enforcement
5.1 Investigation and Reporting RATIFY TECHNOLOGIES FZCO may monitor use, investigate suspected violations, access related data (subject to the Privacy Policy), and report illegal activity to law enforcement or regulators without notice.
5.2 Immediate Actions RATIFY TECHNOLOGIES FZCO may, without notice or liability:
Suspend, restrict, or terminate access (partial or full).
Delete or withhold data/transmissions.
Void or revoke issued Ratify Legal Reviews and Ratified Documents.
This includes automated deletion of uploaded documents in accordance with Ratify™’s 24-hour document deletion policy.
5.3 Emergency Powers In cases of suspected systemic threats, mass fraud, or critical risks, RATIFY TECHNOLOGIES FZCO may implement immediate Platform-wide freezes, link invalidations, or suspensions. RATIFY TECHNOLOGIES FZCO shall have no liability for such actions. RATIFY TECHNOLOGIES FZCO may immediately invalidate any active verification link or QR code without notice if it suspects the underlying document or transaction is being used for a purpose inconsistent with this AUP.
5.4 No Liability and Finality Enforcement decisions are in RATIFY TECHNOLOGIES FZCO’s sole discretion and taken in good faith create no liability. There is no right to reinstatement or appeal.
5.5 User Indemnity You agree to defend, indemnify, and hold RATIFY TECHNOLOGIES FZCO (and its affiliates, officers, employees, and Partner Law Firms) harmless from any claims, losses, or costs arising from your violation of this AUP.
6. Effect on Fees and Remedies
If access is suspended or terminated for an AUP violation:
No refunds, credits, fee waivers, or Service Credits shall be issued.
Prepaid fees are forfeited.
RATIFY TECHNOLOGIES FZCO may charge reasonable costs for investigation, remediation, or enforcement where permitted by law.
7. Integration with Other Documents
This AUP supplements the Ratify™ Terms of Service, Privacy Policy, Service Level Agreement, and Legal Verification Engagement Terms. Violations of this AUP constitute violations of all referenced documents.

9. Changes to This Policy
RATIFY TECHNOLOGIES FZCO may amend this AUP at any time by posting the revised version on the Platform. Changes are effective upon posting unless we specify otherwise. For material changes that adversely affect your rights, we will provide 30 days’ notice via email or Platform notification. Your continued use after the effective date constitutes acceptance. If you disagree with any changes, your sole remedy is to stop using the Platform before the effective date.
10. Governing Law and Dispute Resolution
10.1 Governing Law This AUP is governed by the laws of the United Arab Emirates and the Emirate of Dubai.
10.2 Arbitration Any dispute arising out of or relating to this AUP shall be finally resolved by arbitration under the Rules of the Dubai International Arbitration Centre (DIAC). The seat of arbitration shall be Dubai, and the language shall be English.
10.3 Class Action Waiver To the maximum extent permitted by law, all claims must be brought on an individual basis. You waive any right to participate in class or representative proceedings.
10.4 Injunctive Relief RATIFY TECHNOLOGIES FZCO may seek injunctive relief in any competent court for AUP violations without posting bond or proving actual damages.
10.5 Limitation Period Any claim arising under this AUP must be filed within one (1) year of the event giving rise to it. Claims not filed within this period are permanently waived to the maximum extent permitted by applicable law.
11. Severability
If any provision of this AUP is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
